Official Rules

1.
Entry Period:
The Tech Rx Transformation Contest (“Contest”), sponsored by CDW Corporation (“Sponsor”),
begins on December 7, 2009 at 12:00:01 a.m. Central Time (“CT”) and ends on January
22, 2010 at 11:59:59 p.m. CT (the “Contest Period”), by which time all entries must
be received. The computer clock of Sponsor’s webmaster is the official timekeeping
device of the Contest.
2. Eligibility:
The Contest
is open to legal residents of the 50 United States and the District of Columbia
(“D.C.”) who are 18 years of age or older (19 or older if a resident of AL or NE),
and who own, or are employed, full or part-time, at a non-acute healthcare center
employing ten (10) or fewer physicians at time of entry that does not currently
utilize an electronic medical record (EMR) application. Employees, officers and
directors of Sponsor, its parent company, divisions, subsidiaries, Sponsoring Vendors
and affiliates, and the agents and advertising and promotion agencies of each of
the foregoing, and any other entity that develops, produces, or distributes materials
for or related to this Contest, and members of the immediate families (defined for
these purposes as including spouse, biological and step-parents, children, siblings,
grandparents, grandchildren and each of their respective spouses, regardless of
where they reside) or households (whether related or not) of any of the above, are
NOT eligible to enter or win. The Contest is subject to all applicable federal,
state and local laws and regulations, and is void outside the 50 United States and
D.C. and where prohibited by law.
3. How to Enter: To enter: Log on to
CDW.com/TechRxTransformation (the
“Web site”) during the Contest Period to enter by following
the onscreen instructions and those instructions contained in these Official Rules.
By entering, you
represent that you have read these Official Rules, and the applicable Web site policies
and Terms of Use (collectively, with Web site policies, the “Terms”) of CDW.com/TechRxTransformation
for the Contest (see Web site for complete Terms) and that you and the non-acute
healthcare center on whose behalf you are entering (“Company”) agree to be bound
by all of them. You further represent that you are authorized to enter this Contest
on behalf of a non-acute healthcare center and to submit photos of your Company,
which you understand and acknowledge may be published online or in print, or otherwise
used in accordance with these Official Rules.
To enter, complete
the online application with all required information. Please note that written responses
to questions regarding the need for the Company to have an EMR system and a general
technology makeover are among the information that is required. Written responses
may not refer, by name, to any of the Sponsoring Vendors (Brother, Canon, Cerner,
EMC, Intel, Lenovo or Nuance). Entries may be accompanied by original photographs
(no more than five (5) of your current office and/or IT environment). Your photos
should illustrate the current state of your Company’s record-keeping system and
overall technology. Your Company and its office(s) must be in their natural condition
at the time they are photographed. No retouching, staging or alteration of any kind
can be made to the office. Your photos may include one or more close-up shots of
your Company’s appropriate office(s) and the technology therein, and one or more
wide-shots of such office, including the technology therein. Photographs must
not contain any discernible personal information, including but not limited to patients’
names. If any photos contain such information, the corresponding entry
and the Company on whose behalf it was submitted will be disqualified and deemed
ineligible to win a prize in this Contest.
To enter photographs:
Following all on-screen instructions, upload your photographs at CDW.com/TechRxTransformation
in one of the following formats: JPEG, GIF, or TIF. All photos must be received
in high-resolution for printing purposes. File size must not exceed 2MB.
Please note: The
use or depiction of CDW or Sponsoring Vendors (Brother, Canon, Cerner, EMC, Intel,
Lenovo and Nuance) logos or products in the photographs will not influence the judging
in any way. CDW or sponsoring vendor logos/products are not required to be
included in photographs.
Limit one entry
per Company.
Entries must be submitted by one individual member of the Company who is authorized
to enter on behalf of the Company. By entering, entrant represents: that his/her
submission (in whole and in part) is his or her original work and that the office
described and depicted in such submission is his/her non-acute healthcare center
in its current, natural, unaltered state; that neither the submission itself nor
the act of preparing the submission infringes or infringed on the property rights
or other rights of any third party; and that the submission has not been submitted
in any other contest or won any award in any contest. Modifying, enhancing or altering
a third party’s pre-existing work does not qualify as entrant’s original creation.
The Sponsor reserves the right to disqualify any submission that it determines (in
its sole discretion) to contain any content that is obscene, defamatory, dangerous,
discriminatory, infringing or otherwise inappropriate or unsuitable for publication
to general audiences, or that contains any third party trademarks (other than those
of Sponsor or the Sponsoring Vendors should entrant choose to include Sponsor’s/sponsoring
vendors’ logos/products in the photographs). All entrants must use caution and common
sense in creating their entries.
During the Contest
Period, selected entries, including the photographs submitted with the entries,
may be posted, at Sponsor’s sole discretion, on CDW.com/TechRxTransformation or
within select CDW Healthcare Publications. Entrants and their corresponding Companies
consent to such use of entries by entering the Contest. Such postings may be on
a rotating or occasional basis and may be discontinued at any time at Sponsor’s
sole discretion. Posting of an entry, in whole or in part, during the Contest Period,
is not meant to indicate that the entry is a Finalist or the winner in the Contest,
or that such entry is otherwise favored in any way. Postings will occur, if at all,
solely for promotional purposes.
All entries become
the property of the Sponsor and will not be returned.
4.
Selection of Finalists and the Grand Prize
Winner: A total of three
(3) Finalists and one (1) Grand Prize winner (chosen from among such Finalists)
will be selected in a two-round process as follows:
Round 1 Judging:
A panel of qualified judges comprised of representatives of each of the
Sponsoring Vendors (Brother, Canon, Cerner, EMC,
Intel, Lenovo and Nuance)
will review and evaluate each eligible entry on the basis of the following criteria: (a) demonstrated need of Company for
an electronic medical record application
and an overall technology
makeover(40 percent); (b) creativity of submission (20 percent); and (c) perceived
ability of CDW Healthcare in conjunction with the sponsoring vendors, to improve
productivity of entrant’s Company through installation of a medical record-keeping
system and upgraded technology(40 percent).
The Companies
corresponding to the three
(3) entries that receive the highest total scores on the basis of the above criteria
will be declared as “Finalists”. Each Finalist will be notified by or about February
15, 2010 via e-mail, phone and/or postal mail, and site visits will be scheduled
for each Finalist. Each Finalist will have the opportunity to receive a Finalist
Prize as described in Rule 5, below. In case of a tie in Round 1, the Company whose
entry received the highest score in criterion (a) - - the “demonstrated need of
Company for an electronic medical record application and an overall technology makeover”
- - will be declared the Finalist. In case of a tie involving an entry
submitted by a Wisconsin resident, duplicate prizes will be awarded.
Round 2 Judging: A panel of qualified judges comprised of technology specialists
and engineers from Sponsor and Sponsoring Vendors will visit each Finalist to further
assess each Finalist’s need for an electronic medical record system and an overall
technology makeover. Based on the site visits and such further assessments of each
Finalist’s needs one (1) Grand Prize winner will be selected from among the Finalists.
The Grand Prize winner will be announced at the HIMSS 2010 industry conference in
Atlanta, Georgia, on March 1, 2010, and will receive (in addition to a Finalist
Prize) the Grand Prize described in Rule 5, below. A representative from each Finalist
will have the opportunity to be present at the conference event (see further details
below). If the Grand Prize-winning Company is not present at the conference event,
then the Company will be notified by phone, email and/or postal mail. In case of
a tie in Round 2 judging, the tied Company whose entry received the highest score
in “demonstrated need of Company for an electronic medical record application and
an overall technology makeover” (criterion (a) in Round 1 judging) will be declared
the Grand Prize winner. In case of a tie involving an entry submitted by a Wisconsin
resident, duplicate prizes will be awarded.
All
decisions of the judges are final.
5.
Prizes:
Finalist Prizes:
The three (3) selected Finalists will each win a trip (for one (1) person) to the
HIMSS 2010 annual conference in Atlanta, Georgia, March 1 – 3, 2010. Each trip includes
roundtrip air transportation from the major airport nearest the Finalist’s location
(as determined by Sponsor), hotel accommodations for two (2) nights at a hotel of
Sponsor’s choice, local transportation to and from prize event, and HIMSS Full Conference
Admission Badge.
Air transportation will not be provided as part of the prize if a Finalist
is located within one-hundred-fifty (150) miles of Atlanta, GA. If a Finalist is
located within one-hundred-fifty (150) miles of Atlanta, GA, then in lieu of air
transportation, the Finalist will receive use of a rental car (subject to all terms,
conditions and policies of the rental company). No other compensation of any kind
or amount for the difference in value between the air transportation and the rental
car will be provided to such Finalist(s).
Approximate Retail
Value (“ARV”) of each Finalist Prize: $1,500 (based on the inclusion of air transportation).
The actual retail value of each prize may vary, depending
upon the place of departure and any fluctuations in airfare; any difference between
the approximate and the actual retail value of the prize will not be awarded. Finalist
Prizes consist only of the items described above. Any and all costs not
specified above as being included in such prizes, including but not limited to meals,
tips, spending money and other ground transportation, will be the responsibility
of each Finalist.
Finalists need not
accept the Finalist Prize and need not be present at the Atlanta event as a condition
of remaining eligible to win the Grand Prize. If a Finalist declines to accept the
Finalist Prize, it must decline the prize in its entirety. Each Finalist that does
accept the Finalist Prize must designate one (1) representative from the Company
to take the trip. The representative must be 18 years of age or older (19 or older
if a resident of AL or NE).
Each Finalist representative must travel in accordance with the itinerary supplied
by Sponsor. Travel/accommodations restrictions may apply, and travel may
not qualify for frequent-flyer miles. If a potential Finalist has a policy, practice,
restriction or agreement that prevents it from accepting the prize, or if a potential
Finalist is deemed ineligible or otherwise does not comply with these Official Rules,
that Finalist will be disqualified and the corresponding Finalist Prize will be
forfeited in its entirety and awarded to the Company whose entry received the next-highest
score from the judges in the Round 1 judging.
Grand
Prize: The one (1) Grand Prize-winning
Company will receive (in addition to a Finalist Prize) the
following: a Cerner PowerWorks EMR application; plus a general technology makeover
package that is customized for the Company’s needs,
and includes, but is not limited to, Intel Lenovo notebooks, Intel Lenovo desktops,
EMC storage device and software, a Brother printer, Nuance dictation software.
Approximate Retail Value (“ARV”) of Grand Prize: $50,000. The actual retail value of the Grand Prize may vary; any difference between
the approximate and the actual retail value of the prize will not be awarded. The
Grand Prize consists only of the items described above. Any and all costs
or expenses, and any options or upgrades on the prize or any portion thereof, that
are not specified above as being included in the prize, will be the responsibility
of the Grand Prize-winning Company. The Grand Prize will be awarded on the
Company’s behalf to an officer of the Company, who must sign all required documents.
The individual entrant who submitted the corresponding entry will not receive a prize.
If the potential Grand Prize-winning Company
has a policy, practice, restriction or agreement that prevents it from accepting
the prize, the prize will be forfeited in its entirety and awarded to the Company
corresponding to the entry that received the next-highest score from the judges
in the Round 2 judging.
All prize details
not specified herein, including but not limited to the quantities of each component
of the Grand Prize package, shall be determined by Sponsor in its sole discretion.
Installation of technology,
along with training on the EMR, is included in the Grand Prize package. Estimated
timing for installation and training is 6-12 weeks after winner is announced and
verified. Additional fees may be applied for additional modules or services in association
with the Cerner EMR and/or PM application. All additional fees will be discussed
and approved by winning Company prior to installation.
No transfer or
substitution of, or cash alternative for, any Finalist Prize or the Grand Prize
(or any portion thereof) will be permitted, except as provided herein. Sponsor reserves
the right to substitute a prize (or portion thereof) of equal or greater value in
the event the advertised prize (or portion thereof) is unavailable.
All state, federal
and local income taxes on Finalist Prizes and the Grand Prize are solely the responsibility
of the Companies who are awarded (and accept) the prizes.
All appropriate tax
documentation will be issued to the prize-winning Companies and to the IRS. All
prizes will be awarded provided they are claimed properly in accordance with these
Rules.
6. Rights:
By submitting
an entry, the entrant warrants that it is his/her wholly original creation and does
not infringe any copyright, trademark, publicity, privacy or other proprietary right
of any third party, union or guild (other than Sponsor). Entrants further warrant
that they have received consent from anyone other than entrant who appears within
the submitted photographs for their inclusion in the entry, and consent from their
Company to enter the Contest, and may be required to provide proof of such consent
at any time. Submission of an entry grants Sponsor and its agents the right
to publish, use, adapt, edit and/or modify the entry (including photos submitted
with the entry) in any way, in commerce and in any and all media worldwide now known
or hereafter developed, without limitation and without additional notice or compensation
to the entrant or the entrant’s Company. By submitting an entry, each entrant in
the Contest, and his/her Company, further agree to assign to Sponsor all rights
(including without limitation intellectual property rights), title and interest
in and to such entry (including photos submitted with it) as a condition of competing
for a prize, including without limitation the right to make any derivative version
of the entry and the components thereof, and absolute discretion to alter the entry
and components thereof in any way, including without limitation editing, cropping,
reformatting, title changes, and removal or addition of any element. Sponsor may
require the entrant who submitted a prize-winning entry and his/her Company
to execute documents to confirm this transfer of rights, or the corresponding prize
will be forfeited and awarded to the Company whose entry received
the next-highest score in the applicable Round of judging.
By participating in this Contest, entrants and/or anyone
who appears within the submitted photos, and entrants’ Companies, grant permission
to Sponsor to use their names, likenesses and limited biographical information,
as well as their images, voices and statements made by them in the entry and components
thereof, or in any derivatives that may be made of such entries for promotional
or advertising purposes in all media worldwide, now known or hereafter developed,
without limitation and without additional notice or compensation to the entrant
or the entrant’s Company, unless prohibited by law. By participating, each entrant
and his/her Company agree to release and hold harmless Sponsor, its affiliates,
subsidiaries, each of their respective directors, officers, shareholders, employees,
agents, and advertising and promotional agencies (collectively the “Releasees”)
from and against any and all liability for claims, costs, injuries, losses or damages
of any kind, (including, without limitation, claims, costs, injuries, losses or
damages related to personal injuries, death, damage to, or loss or destruction of
property, rights of publicity or privacy, defamation or portrayal in a false light)
which may occur in connection with use of the Contest Web site (including but not
limited to damage to entrant’s or others’ computer equipment resulting from participation),
their preparation for or participation in the Contest or preparation/posting of
any entry submission, or from their acceptance, possession use/misuse of a prize
if awarded to them.
By accepting a prize,
each prize-winning Company (and entrant corresponding thereto) agrees to indemnify
and hold the Releasees harmless from and against any claims, suits, losses, damages
and expenses, including reasonable attorney fees, which may arise in connection
with any allegation that the winning entry or components thereof violate the intellectual
property rights of any third party, or in connection with any allegation based on
rights of privacy or publicity, defamation or portrayal in a false light.
If a Finalist elects
to accept the Finalist Prize then the entrant who submitted a Finalist Prize-winning
entry, and an authorized officer of the winning Company, as well as the representative
designated by each such Finalist to take the prize trip, will be required to execute
and return a Release of Liability and Publicity (where permitted) and Affidavit
of Eligibility within ten (10) days of first attempted written notification. If
such a Finalist and/or corresponding entrant fails to comply, the Finalist may be
disqualified and its prize may be forfeited and awarded to the Company corresponding
to the entry that received the next-highest score from the judges in the Round 1
judging.
An authorized officer
of the Grand Prize-winning Company will be required to sign and timely return additional
liability and publicity releases as a condition of the awarding of the Grand prize
to said Company. Failure to comply may result in forfeiture of the Grand Prize,
and the awarding of the prize to the Finalist that received the next-highest score
from the judges in the Round 2 judging.
Any person appearing
in a photo submitted with any prize- winning entry may be required to execute a
publicity/liability release or such winning entry/ corresponding Company
may be disqualified, and its prize may be forfeited and awarded to the Company
corresponding to the entry that received the next-highest score from the judges
in the applicable Round of judging.
Additional important
details regarding the rights of entrants and persons appearing in Contest submissions
are contained in the Contest Web site Terms of Use, to which entrants will be required
to indicate their agreement before entering. Entrants must review the Terms of Use
before entering.
7. Entry Errors/Tampering:
Sponsor
is not responsible for: (i) electronic or digital transmissions or any entries or
components thereof that are lost, late, stolen, incomplete, illegible, damaged,
garbled, destroyed or misdirected; (ii) any problems or technical malfunctions,
errors, omissions, interruptions, deletions, defects, delays in operation or transmission,
communication failures, destruction or unauthorized access to, or alteration of,
entries/entry components; (iii) failed or unavailable hardware, network, software
or telephone transmissions, damage to entrants’ or any person’s computer and/or
its contents, or causes beyond Sponsor’s reasonable control that jeopardize the
administration, security, fairness, integrity or proper conduct of this Contest;
(iv) any entries/entry components submitted in a manner that is not expressly allowed
under these Official Rules; (v) incorrect or inaccurate entry information whether
caused by entrants or by any of the equipment or programming associated with or
utilized in the Contest, (vi) any typographical or other error in the printing or
advertising of the offer, administration or execution of the Contest, or in the
announcement of prizes/prize winners; or (vii) malfunctions or interference resulting
from illicit, malicious or injurious code (including but not limited to viruses,
worms and denial of service attacks). If for any reason the Contest cannot be executed
as planned, including but not limited to transmission failure, infection by computer
virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or
any other causes beyond the control of Sponsor that corrupt or affect the security,
administration, fairness, integrity or proper conduct of the Contest, or if the
Contest is compromised or becomes technically corrupted in any way, electronically
or otherwise, Sponsor reserves the right to cancel, modify or terminate the Contest
and reserves the right, but shall not be obligated, to select the Finalists and
Grand Prize winner based on the criteria described herein from among all non-suspect
entries received as of the date/time of such termination/cancellation or modification.
Sponsor reserves the right, at its sole discretion, to disqualify and prosecute
any individual who tampers with or attempts to tamper with the entry process.
CAUTION: ANY ATTEMPT
BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR OTHERWISE CORRUPT THE CONTEST
OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL
AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY,
PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON AND HIS/HER COMPANY, IF APPLICABLE,
TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Disputes/Choice
of Law:
Except where prohibited, by participating, each entrant and his/her Company
agrees that this Contest shall be governed by, and construed in accordance with,
the laws of the State of Illinois, without giving effect to any choice of law or
conflict of law rules. Sponsor reserves the right to take such action as it deems
necessary to enforce these Official Rules and ensure the fair operation of this
Contest, including without limitation barring entrants who do not comply with these
Official Rules. By entering, entrants and their Companies consent to the jurisdiction
and venue of the appropriate federal, state and local courts located in Illinois
for any and all disputes, claims and causes of action arising out of or connected
with this Contest or the awarded prizes.
9.
Winners List:
For the names of the Finalists and the Grand Prize winner and/or a copy of the Official
Rules, visit CDW.com/techrxtransformation.
The Finalists’ and Grand Prize winner’s names and the name of the entrants who submitted
all prize-winning entries will be posted after March 2, 2010, following the verification
of each prize-winning Company’s and corresponding entrant’s eligibility and the
awarding of the prizes. You may also request a copy of the Rules or the Winners
List by sending a self-addressed, stamped #10 business-size envelope to: Tech Rx
Transformation, C/O CDW Marketing, 300 N. Milwaukee Ave., Vernon Hills IL 60061.
Indicate “Rules” and/or “Winners List”, as appropriate, on the front of your outer
mailing envelope, in the lower left-hand corner. Residents of VT may omit return
stamp from Rules requests only. Mailed requests must be received by April 30, 2010.
